2. Regulatory status

Fundequate S.à r.l. operates a fund operations platform. It provides software and operational support to managers of alternative investment funds and related vehicles structured under Luxembourg law.

Fundequate S.à r.l. is not an alternative investment fund manager (AIFM) within the meaning of the Luxembourg Law of 12 July 2013 on alternative investment fund managers. That law implements Directive 2011/61/EU (AIFMD), as amended by Directive (EU) 2024/927 (AIFMD II). Fundequate S.à r.l. does not manage any alternative investment fund.

Fundequate S.à r.l. is not a professional of the financial sector (PSF) within the meaning of the Law of 5 April 1993 on the financial sector. Nor is it a credit institution, investment firm, payment institution or electronic money institution under Luxembourg law. It does not provide investment advice, portfolio management, the reception and transmission of orders or any other investment service within the meaning of Directive 2014/65/EU (MiFID II), as transposed by the Law of 30 May 2018 on markets in financial instruments. It does not hold client money or assets.

Fundequate S.à r.l. is not supervised by the Commission de Surveillance du Secteur Financier (CSSF). Any fund, AIFM or other entity using the Platform remains responsible for its own regulatory obligations, together with its appointed regulated service providers.

3. Data protection authority

The Commission Nationale pour la Protection des Données (CNPD) is the competent supervisory authority for the processing of personal data in Luxembourg. It acts under Regulation (EU) 2016/679 (GDPR) and the Law of 1 August 2018.

4. Important disclaimers

4.1 General information only. Content published on the Platform is provided for general informational purposes only. This includes articles and materials on Luxembourg fund structures, regulation and taxation. Such content does not constitute legal, tax, accounting or investment advice and should not be relied upon as such. Specific legal and tax advice should be obtained for any particular situation.

4.2 No offer. Nothing on the Platform constitutes an offer to buy or sell any interest in a fund or any other financial instrument. Nor does it constitute a solicitation of such an offer.

4.3 Client content. Investor portals operated on the Platform may make available fund documentation, reports, valuations and other information. This content is provided by, and remains the sole responsibility of, the relevant fund, its general partner, AIFM or other manager. Fundequate S.à r.l. acts solely as technology and operational service provider. It makes no representation as to the accuracy or completeness of such content. Nor does it make any representation as to its sustainability classification, including under Regulation (EU) 2019/2088 (SFDR). Investments in alternative investment funds involve a high degree of risk and are illiquid. Past performance is not a reliable indicator of future results.

4.4 Restricted jurisdictions. The Platform is not directed at persons in any jurisdiction where its use, or the distribution of its content, would be contrary to local law. Users are responsible for ensuring that their access complies with the laws of their jurisdiction.

5. Intellectual property

All content on the Platform is the property of Fundequate S.à r.l. or its licensors. This includes text, graphics, logos, software, data compilations and the design and layout of the Platform. It is protected by the Luxembourg Law of 18 April 2001 on copyright, related rights and databases, as amended, and by international intellectual property law. No content may be reproduced, distributed, modified or used to create derivative works without the prior written consent of Fundequate S.à r.l., except as permitted by applicable law. The Fundequate name and logo are trademarks of Fundequate S.à r.l.

6. Limitation of liability

To the fullest extent permitted by applicable law, Fundequate S.à r.l. and its managers, employees and agents shall not be liable for any direct, indirect, incidental or consequential damages arising out of or in connection with:

(i) access to or use of the Platform;
(ii) any information published on or through the Platform;
(iii) any decision taken in reliance on such information; or
(iv) any technical failure, interruption or unavailability of the Platform.

Use of the Platform by contracted clients is governed by the applicable service agreement, which prevails over this Legal Notice.

7. Third-party links and services

The Platform may contain links to third-party websites or services not controlled by Fundequate S.à r.l. Fundequate S.à r.l. assumes no responsibility for their content, privacy policies or practices.

8. Governing law and jurisdiction

This Legal Notice is governed by the laws of the Grand Duchy of Luxembourg. Any dispute arising out of or in connection with it shall be subject to the exclusive jurisdiction of the courts of Luxembourg City. This applies unless mandatory consumer protection law in the user's jurisdiction provides otherwise.

9. Changes

Fundequate S.à r.l. may amend this Legal Notice at any time. Changes take effect upon publication on the Platform.
